Dan Scorpio is Head of M&A and Activism at H/Advisors Abernathy, and leads the firm’s team in Chicago. He provides strategic communications, investor relations and stakeholder engagement counsel to leadership teams and Boards of Directors regarding transactions, activism defense, IPOs, corporate governance and complex investor matters.

An experienced capital markets communications adviser, Dan regularly advises publicly listed companies, privately held organizations and investment firms on high-profile situations and reputational matters. He has advised on hundreds of acquisitions, divestitures, take-private and joint venture transactions in his career, and provided counsel during public and private engagement with an array of established and emerging activist investors.

Dan’s representative assignments include T-Mobile’s $59 billion acquisition of Sprint, $1.2 billion acquisition of Mint Mobile, and $4.4 billion acquisition of UScellular’s wireless assets; TPG’s acquisition of AT&T’s 70% stake in DIRECTV and DIRECTV’s proposed acquisition of DISH; Medtronic’s announced separation of its Diabetes business; IFF’s $45 billion Reverse Morris Trust transaction to acquire DuPont’s Nutrition & Biosciences business; Tempus AI’s initial public offering; Atlas Air Worldwide’s $5.2 billion acquisition by an investor group led by Apollo; Symbotic’s de-SPAC transaction with Softbank-backed SVFC Investment Corp. 3 and subsequent public listing; Keurig Green Mountain’s $26 billion acquisition of Dr Pepper Snapple; Pritzker Private Capital’s acquisitions of Sugar Foods, Kenco, Monogram Foods, Bardstown Bourbon, Americhem, and Buckman; Boston Beer Company’s $300 million acquisition of Dogfish Head Brewery; the merger of non-profit health systems BJC HealthCare and Saint Luke’s Health System; and numerous corporate clients in private and public engagements against activist investors including Carl Icahn, Elliott Management, JANA, Mantle Ridge, Pershing Square, Engine Capital, Sachem Head, and Starboard Value, among others.

Dan frequently speaks at the Corporate Counsel Institute, Garrett Corporate and Securities Law Institute, ROTH Conference and industry events hosted by the Society for Corporate Governance, National Investor Relations Institute and National Association of Corporate Directors.

Dan is a member of NIRI Chicago Chapter and has a degree in Newspaper Journalism from Syracuse University’s S.I. Newhouse School of Public Communication.
